Enterprise Terms of Service

1. Agreement Overview

These Enterprise Terms of Service ("Agreement") govern your organization's access to and use of the klerIQ platform, including klerData and klerHire products ("Services"). By accepting this Agreement, you represent that you are authorized to bind your organization to these terms.

2. Permitted Use

klerIQ Services are licensed for use by staffing firms, corporate recruiting teams, and hiring organizations for the purpose of recruiting, sourcing, and talent management activities. Your organization may:

• Upload and process candidate data sets that your organization has lawfully collected
• Use klerHire to analyze job descriptions and match candidate resumes
• Push processed candidate data to your connected ATS systems (e.g., CEIPAL)
• Administer user accounts within your organization's allocated seats

3. Data Ownership and Responsibility

Your organization retains full ownership of all candidate data you upload. klerIQ processes this data solely to provide the contracted Services. You are solely responsible for:

• Ensuring you have lawful authority to process and store the candidate data you upload
• Compliance with applicable employment, privacy, and data protection laws in your jurisdiction (including GDPR, CCPA, FCRA where applicable)
• Obtaining any required candidate consents before uploading their data to the platform
• The accuracy and completeness of data submitted through the platform

4. AI Processing and Data Handling

klerHire uses artificial intelligence powered by OpenAI's API to analyze job descriptions and score candidate resumes. By using klerHire, you acknowledge and agree:

• Resume text submitted for AI scoring is processed by third-party AI infrastructure (OpenAI). Data is processed in accordance with OpenAI's data processing policies.
• klerIQ automatically removes sensitive identifiers (SSNs, dates of birth, financial account numbers, medical record numbers, government ID numbers) from resume text before AI processing.
• klerData analysis, enrichment, and sanitization operations run entirely on klerIQ infrastructure — no candidate data from klerData is sent to external AI services.
• AI-generated outputs are provided as decision support tools only. Final hiring decisions remain your organization's sole responsibility.

5. CEIPAL Integration

When you connect your CEIPAL account, you authorize klerIQ to push processed candidate records to your CEIPAL instance using the API credentials you provide. You retain full control over this connection and may revoke it at any time. klerIQ does not store your CEIPAL API credentials beyond the current session.

6. Data Retention

Uploaded data files and processing artifacts are retained for 30 days after job completion, after which they are automatically purged. Audit logs and metadata may be retained for up to 12 months for compliance purposes. You may request early deletion of your data by contacting support.

7. Confidentiality

klerIQ treats all data you upload as confidential and will not share it with third parties except as required to deliver the Services (e.g., AI processing infrastructure) or as required by law.

8. Prohibited Use

You may not use klerIQ to process data in violation of applicable law, discriminate against candidates based on protected characteristics, or circumvent any employment screening regulations. Automated decisions based solely on AI output without human review are your responsibility.

9. Service Availability and Limitations

klerIQ provides Services on a best-efforts basis. AI analysis results are probabilistic and may contain errors. klerIQ is not liable for decisions made based on platform outputs. Service interruptions, AI model limitations, and processing delays are inherent to the technology and do not constitute a breach of this Agreement.

10. Changes to Terms

klerIQ may update these Terms periodically. Material changes will be communicated via email or in-platform notice. Continued use of the platform after notice constitutes acceptance.

11. Fair Use Policy

klerIQ plans are offered with "Unlimited" access for normal professional recruiting use. To maintain service quality for all customers, the following fair use thresholds apply:

• klerHire JD Analysis: Up to 500 JD analyses per user per month. Automated or scripted batch submissions are prohibited.
• klerHire Candidate Screening: Up to 2,000 screening link sends per user per month.
• klerHire Resume Matching: Up to 5,000 resume match operations per user per month.
• klerScout Searches: Up to 300 sourcing searches per user per month, with up to 500 candidates surfaced per search.
• klerTrace Enrichments: Contact enrichment is credit-limited as specified in your plan (25, 75, or 250 per month). Additional credits may be purchased at $65 per 100.
• Certified Submissions: Unlimited certificate generation for candidates who complete screening workflows.

Use that materially exceeds these thresholds, or any automated, programmatic, or non-human usage, may result in rate limiting, plan review, or account suspension. klerIQ reserves the right to update these thresholds with 30 days' notice.
